Start by doing a search to see if your business name is available:

An LLC in Florida must have a name that ends with end with the words “Limited Liability Company,”or the abbreviation “L.L.C.,” or the designation “LLC.”

Florida corporation names must contain a corporate suffix such as Corporation,Corp., Incorporated, Inc., Company, or Co.

File paperwork to form my business

Form a new business entity by filing with Florida Department of State. To form a corporation, file Articles of Incorporation and pay the $35 filing fee plus $35 fee to designate a registered agent. To form a Florida LLC, file Articles of Organization and pay the $100 fee plus a $25 fee to designate a registered agent. There is no expedited processing option, but if you hand deliver your articles, you can have them filed the same day. You can also file online or mail your documents to the Department of State. If you submit your articles online, your filed documents will be returned to you via email in 1-3 days. If you mail in your articles, normal processing takes 3-7 business days. Fax filing is only available if you have a prepaid account. Fax filing is only available if you have a prepaid account. In your filing you’ll need to include: business name, registered agent name and address, business address, authorized stock information (corporations only), name and address of the incorporator, effective date of formation.

If you don’t want to do the filing yourself, you can incorporate in Florida with Northwest Registered Agent.

Register with Department of Revenue

You can register for most types of taxes online. This includes sales and use, reemployment, income, and gross receipts taxes. Register online and follow the prompts to find out which taxes apply to your business http://dor.myflorida.com/dor/taxes/registration.html#register

Income Tax:

The corporate tax rate is 5.5% and there is no personal income tax.

Sales Tax:

The current state sales tax rate is 6% but may be higher if there are local sales taxes where you operate your business.

Get a business license

There is no statewide business license. Your business will be licensed by the city/county where it is located.Some businesses need trade or occupational licenses. For more information, contact the Florida Department of Business and Professional Regulation. Miami Dade County

You have to register for what is now called the local business tax. You can get the application for online at http://www.miamidade.gov/taxcollector/local-business-tax.asp. You can apply in person or mail the form.

City of Miami

If you do business in the City of Miami, you will need to register for the city business tax, in addition to the county tax. The application is available on the City of Miami website http://www.miamigov.com/Finance/pages/Licenses/licenses.asp Fees vary based on the type of business.

Broward County

Businesses in Broward County need to have a Local Business Tax Receipt. You have to pay a fee which is based on your type of business and ranges from $27 to $150. You can download the application online: http://www.broward.org/RECORDSTAXESTREASURY/TAXESFEES/Pages/LocalBusinessTaxes.aspx or pick one up at the office, but you have to submit your paperwork in person.

City of Fort Lauderdale

You need to register for the Business Tax to do business in the City of Fort Lauderdale. You can download the application online at http://www.fortlauderdale.gov/business_tax/ or you can get one at the Business Tax Office.
