Starting a Business in Oregon Checklist
Check business name availabilityFirst, search online to see if your business name is available for use: The name of a limited liability company in Oregon must contain the words “limited liability company” or the abbreviation L.L.C. or LLC. The name must be distinguishable from other names of limited liability companies, corporate names, professional corporate names, nonprofit corporate names, cooperatives, limited partnerships, business trusts, reserved names, registered corporate names, or assumed business names. Oregon corporations must follow similar guidelines. Corporation names must be distinguishable and feature some form of the word “Incorporated”, either in abbreviation or some other acceptable form. |

File paperwork to form your businessNow you are ready to form your Oregon corporation or Oregon LLC! You can file your Articles of Incorporation or Articles of Organization online at https://secure.sos.state.or.us/ABNWeb/. Online filings are usually processed the same day. If you prefer, you may submit the paper forms by mail, fax, or in person. If you mail the form, be prepared to wait 1-2 weeks for processing. If you want your paperwork processed more quickly than that, you can send documents via courier/express mail or fax your documents for one day processing. Articles of Incorporation or Articles of Organization will cost $100 to file. You’ll need to include the following in your Oregon business formation documents: – Business name – Registered agent name and addresses – Number of shares (corporations only) – Structure of company (LLCs only) – Incorporator/organizer name and address – Filer’s name, signature, and title If you don’t want to file your business’ legal formation documents yourself, you can incorporate in Oregon with Northwest Registered Agent. Register with the Department of RevenueAfter your business is formed, you can use the Online Business Registration System to register for sales tax and income tax withholding http://www.oregon.gov/business/Pages/index.aspx Sales Tax:Oregon does not have sales tax. Income Tax:Personal income tax rates range from 5% to 9.9%. Corporate income tax ranges from 6.6% to 7.6%. If Oregon taxable income is $250,000 or less, tax rate is 6.6%.
